RightLoads Terms of Service

Effective Date: October 12, 2026

These Terms of Service (“Terms”) govern your access to and use of the RightLoads platform, including the website at rightloads.com, the RightLoads Rate Management Engine (RME), the RightLoads Transportation Management System (TMS), and related web and mobile applications (collectively, the “Service”), provided by RightLoads (“RightLoads,” “we,” “us,” or “our”). Nex-Linx Inc. is the legal entity that operates RightLoads, and all references to RightLoads in these Terms mean Nex-Linx Inc. By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to accept these Terms on that company’s behalf, and “you” refers to you and that company.

1. The Service

RightLoads provides transportation management tools for carriers, dispatchers, owner-operators, and drivers, which may include load board and load set management, rate confirmation upload and verification, load creation and dispatch, driver load acceptance, credit check and broker lookup, fleet and equipment management, invoicing and factoring submission support, and related email and text message communications. We may add, change, or remove features from time to time.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.

  • You must provide accurate, current, and complete account information and keep it up to date.

  • You are responsible for safeguarding your sign-in credentials and for all activity under your account. Notify us immediately of any unauthorized use.

  • Access to features depends on your role (for example, company administrator, dispatcher, owner-driver, or company driver), your company’s subscriptions, and your company administrator’s configuration. Employee drivers do not have access to rate, revenue, pay, or funding information.

  • User, role, company, and subscription records in RightLoads are authoritative as maintained through the RightLoads platform, and we may correct or sync them to keep the Service accurate.

3. Electronic Communications and Text Messages

By using the Service, you consent to receive transactional electronic communications from us relating to your account, loads, and dispatch, including email. If you opt in to text messages, the following terms apply:

  • We send text messages for load dispatch notices, load acceptance requests, pickup and delivery updates, and account or support messages, with message frequency varying based on your loads and dispatch activity.

  • Message and data rates may apply. Check with your mobile carrier for details.

  • You may opt out of text messages at any time by replying STOP to any message. You will receive one confirming message, and no further messages will be sent. Reply UNSTOP or START to resume.

  • For help, reply HELP to any message or contact us at support@rightloads.com or (559) 309-5744.

  • Mobile opt-in consent and phone numbers are never shared with third parties or affiliates for marketing purposes. Consent to receive text messages is not a condition of purchase.

  • Carriers are not liable for delayed or undelivered messages.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation, including federal motor carrier safety regulations applicable to your operations;

  • Send spam, unsolicited bulk messages, or unlawful content through the Service, or use the Service to send text or email messages to anyone who has not consented to receive them;

  • Upload malicious code, scrape, harvest, reverse engineer, or attempt to gain unauthorized access to the Service or other users’ data;

  • Misrepresent your identity, your authority to act for a company, or the origin of any load, rate confirmation, or document;

  • Interfere with or disrupt the integrity or performance of the Service.

5. Your Content

  • You retain ownership of documents, rate confirmations, load data, and other content you upload or enter (“Your Content”).

  • You grant RightLoads a limited license to host, store, process, reproduce, and display Your Content solely to provide and improve the Service.

  • You are responsible for the accuracy of Your Content, including rate confirmations you upload, verification outcomes you accept or override, and invoice data you submit.

  • Automated verification and matching features are decision-support tools only. Final review and responsibility for load and invoice accuracy remain with you.

6. Third-Party Services

The Service integrates with third-party services that you choose to connect or that are used to deliver features, including Google (Gmail), text messaging providers, credit-data providers, and factoring providers such as Apex Capital. Your use of those services is also governed by their own terms and privacy policies. We do not control third-party services and are not responsible for their content, availability, or actions. Submission of invoices to a factoring provider, and any funding decisions, advances, fees, or recourse, are solely between you and that provider under your separate agreement with them.

7. Fees and Payment

  • If your plan includes subscription or usage fees, you agree to pay the fees presented to you at sign-up or checkout, including any applicable taxes.

  • Fees are billed in advance and are non-refundable except as required by law or as expressly stated in your order.

  • We may change fees with prospective notice. Continued use after the change takes effect constitutes acceptance.

  • If payment fails, we may suspend or terminate access until the account is brought current.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT ENDORSE OR GUARANTEE ANY BROKER, CUSTOMER, CARRIER, DRIVER, LOAD, CREDIT RESULT, OR FUNDING OUTCOME, AND CREDIT- CHECK RESULTS AND RATE CONFIRMATION VERIFICATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

10. Indemnification

You agree to indemnify and hold harmless RightLoads and its personnel from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Term, Suspension, and Termination

  • These Terms apply for as long as you access or use the Service. You may stop using the Service at any time.

  • We may suspend or terminate your account or access if you materially breach these Terms, fail to pay fees when due, or if we are required to do so by law. Where practicable, we will give you notice and a reasonable opportunity to cure.

  • Upon termination, your right to use the Service ends immediately. Sections 5, 8, 9, 10, and 12 through 15 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Before filing a claim, the parties agree to attempt in good faith to resolve the dispute through informal negotiation for thirty (30) days after written notice. Any action or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Nevada, and each party consents to the personal jurisdiction and venue of those courts. THIS SECTION DOES NOT PREVENT EITHER PARTY FROM SEEKING INJUNCTIVE OR EQUITABLE RELIEF.

13. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms with a new effective date, and material changes will be accompanied by reasonable notice, such as an in-app notification or email. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

14. General

  • If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • These Terms, together with any order or plan terms presented at sign-up, are the entire agreement between you and RightLoads regarding the Service and supersede prior agreements on that subject.

  • You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

  • Our failure to enforce any right or provision is not a waiver of that right or provision.
